Agreement: By registering, accessing or using the Sentinel application, you agree to be bound by these Terms & Conditions.

These Terms govern the relationship between you (the "Client") and Spinnaker Algo Systems, LTD, a company registered in England and Wales, Company No. 14451772 with its registered office at 167–169 Great Portland Street, 5th Floor, London, W1W 5PF, United Kingdom.


1. Definition

For the purposes of these Terms & Conditions:

  • "Sentinel" means the proprietary monitoring and analytics application developed and operated by Spinnaker Algo Systems, LTD.
  • "Client" refers to any individual or entity that registers for, subscribes to, or uses the Sentinel Service.
  • "Service" refers to all functionalities of Sentinel, including but not limited to data aggregation, monitoring, alert generation, and performance/risk analytics.
  • "Subscription Plan" means the paid access plan (monthly or annual) chosen by the Client.
  • "Subscription Fee" means the amount payable by the Client in accordance with the applicable plan.
  • "Account" refers to the Client's user account created on Sentinel for access to the Service.
  • "Data" means any information uploaded, processed, or stored through the Service by the Client.
  • "Authorized User" means any person or entity authorised by the Client to access or use Sentinel under the Client's Account.

2. Nature of the Service

Sentinel is a software-as-a-service (SaaS) platform designed exclusively for monitoring, risk auditing and performance alerting of trading accounts and systems.

Important: Sentinel does not execute trades, manage portfolios, or provide investment advice.

All information provided by Sentinel is for informational and analytical purposes only. Any decision or action taken based on Sentinel data remains the sole responsibility of the Client.


3. Access and Security

Clients must create an Account to access the Service. Upon registration, you must:

  • Provide accurate and up to date information.
  • Maintain confidentiality of your login credentials.
  • Immediately notify Spinnaker if you suspect any unauthorised access or misuse.

Spinnaker offers optional Two-Factor Authentication (2FA) for enhanced security and strongly recommends its activation.

Responsibility: You are fully responsible for all activities occurring under your Account, whether authorised or not. Spinnaker is not liable for any loss arising from failure to protect login details.

4. Internet and Data Transmission Risks

Spinnaker shall not be held liable for interruptions, delays, hacking, or transmission errors resulting from the use of public networks such as the Internet.

You acknowledge that data transmitted online may cross international borders, even when both sender and receiver are in the same country.

Although we implement advanced encryption and monitoring measures, no system can be entirely immune to cyber risks. You agree to use the Service at your own risk and to apply reasonable security practices on your own devices.


5. Subscription Plans and Fees
  • Sentinel operates on a subscription basis, with plans published on the official Sentinel or Spinnaker website.
  • By selecting a plan, you agree to pay the corresponding Subscription Fee, excluding applicable taxes or payment processing charges.
  • Subscriptions renew automatically at the end of each billing cycle unless cancelled prior to renewal.
  • Spinnaker reserves the right to modify pricing or plan features, if Clients are notified at least 30 days in advance.
  • If payment is not successfully processed, Spinnaker may suspend or terminate access to the Service until payment is received.

6. Refund Policy

Clients are encouraged to use the free trial plan (where available) before subscribing.

Due to the digital nature of the Service, all paid subscriptions are non-refundable, except in cases of proven technical malfunction directly attributable to Spinnaker.

Refunds, when applicable, will exclude payment gateway fees and will be processed using the same payment method used for the original transaction.


7. Client Responsibilities

The Client acknowledges that Sentinel provides data aggregation and analytical insights and does not guarantee the accuracy or completeness of third-party data sources.

You are solely responsible for:

  • Verifying any alerts, data, or analytics provided by the Service.
  • Ensuring that your use of Sentinel complies with all applicable laws and regulations.
  • Maintaining appropriate monitoring of your own trading systems.
Liability Disclaimer: Spinnaker shall not be held liable for any trading losses, operational errors, or financial damages resulting from reliance on Sentinel alerts or reports.

8. Data Privacy and Security (GDPR Compliance)

Spinnaker Algo Systems, LTD is committed to protecting your privacy and ensuring compliance with the UK Data Protection Act 2018 and the General Data Protection Regulation (GDPR).

  • We may collect and process limited personal and technical data necessary for the provision of the Service.
  • This data may include contact details, usage logs, and account identifiers.
  • All data is processed on secure servers and is never sold or shared with third parties, except where required by law or for essential operational purposes.
  • Clients retain full rights under the GDPR, including access, rectification, erasure, and data portability.

9. Service Availability and Maintenance
  • Spinnaker strives to maintain high service uptime. However, temporary interruptions may occur due to system maintenance, updates, or network issues.
  • Spinnaker will make reasonable efforts to notify Clients of planned maintenance in advance.
  • Spinnaker shall not be liable for downtime, latency, or performance degradation resulting from external service providers or force majeure events.

10. Intellectual Property
  • All content, software, and design elements of Sentinel are the exclusive property of Spinnaker Algo Systems, LTD.
  • No licence or rights are granted other than those expressly stated in these Terms.
  • Clients may not copy, modify, distribute, or reverse-engineer any part of Sentinel without written authorisation.

11. Third-Party Integrations
  • Sentinel may connect with third-party brokers, platforms, or data providers.
  • These integrations are provided for convenience and do not imply endorsement or responsibility by Spinnaker.
  • The Client acknowledges that use of third-party services is governed by their respective terms and policies.

12. Termination
  • Either party may terminate this Agreement at any time.
  • Upon termination, the Client's access to Sentinel will be deactivated, and any stored data may be deleted in accordance with our Data Retention Policy.
  • Termination does not relieve the Client from payment obligations accrued before the effective termination date.

13. Limitation of Liability

To the maximum extent permitted by law:

  • Sentinel is provided "as is" and "as available";
  • Spinnaker does not guarantee uninterrupted or error-free operation;
  • Spinnaker shall not be liable for any indirect, consequential, or incidental losses, including loss of profits, trading losses, or data loss.
Maximum Liability: The total cumulative liability of Spinnaker shall not exceed the total Subscription Fees paid by the Client in the preceding 12 months.

14. Changes to These Terms

Spinnaker may amend these Terms & Conditions at any time by providing at least 30 days' notice, either via email or by posting an updated version on the Sentinel website.

Continued use of the Service after such notice constitutes acceptance of the revised Terms.


15. Governing Law and Jurisdiction
  • These Terms are governed by and construed in accordance with the laws of England and Wales.
  • Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.

Refund Policy

Policy Overview: This Refund Policy outlines the conditions under which Spinnaker Algo Systems, LTD may issue refunds for subscriptions to the Sentinel platform.

By subscribing to Sentinel, you ("the Client", "you") acknowledge that you have read and agree to the following terms.


1. Free Trial and Evaluation

Before committing to a paid subscription, Clients are encouraged to use the Free Plan (when available) to evaluate Sentinel's features, performance monitoring, and alerting capabilities.

Important Notice: Because we provide this evaluation period, and because Sentinel is a digital software service accessible immediately upon payment, all paid subscriptions are generally non-refundable.

2. Non-Refundable Services

Except as expressly stated in this policy:

  • All Subscription Plans (monthly, quarterly, annual) are non-refundable once payment has been successfully processed.
  • Add-ons, usage-based services, or upgrades are also non-refundable.
  • Expired or cancelled subscriptions are not eligible for any refund or credit.
  • Subscriptions paid with promotional or discount codes are strictly non-refundable.

3. Exceptional Circumstances

Refunds may only be considered in exceptional cases, and at the sole discretion of Spinnaker, under the following limited circumstances:

Eligible for Refund Consideration:
  • You are unable to access the Sentinel Service due to a verified technical fault directly attributable to Spinnaker; or
  • A confirmed system malfunction prevents the Service from operating as advertised, and this issue cannot be resolved within a reasonable timeframe.
NOT Eligible for Refund:
  • Incorrect configuration or settings within the Client's account;
  • Problems arising from third-party brokers, data feeds, or internet connectivity;
  • Misuse, negligence, or failure to meet minimum technical requirements.

4. Refund Procedure

To request a refund under this policy, you must contact our support team within seven (7) days of the initial payment date at:

Refund requests must include:

  • The registered account email;
  • The transaction ID or invoice number;
  • A brief explanation of the issue encountered.
Review Process: Each request will be reviewed on a case-by-case basis. Approval of refunds is at the sole discretion of Spinnaker Algo Systems, LTD.

5. Processing Fees

If a refund is approved, Spinnaker will deduct:

  • Any payment gateway or transaction processing fees charged by the payment provider; and
  • A service handling fee of 6% of the refunded amount (minimum 10 GBP).

Processing Timeline:

The remaining balance will be reimbursed using the same payment method originally used for the purchase. Please allow up to 14 business days for the refund to appear in your account, depending on your payment provider's processing time.


6. No Partial or Prorated Refunds
No Exceptions: Refunds are not issued for partial periods of service, unused time, or when cancelling partway through a billing cycle.

Once a subscription term begins, the corresponding fee applies for the entire period regardless of usage level.


7. Service Access After Refund

If a refund is granted:

  • The Client's access to Sentinel and all associated data will be immediately revoked.
  • Any analytics or alerts stored within the account may be permanently deleted in accordance with our Data Retention Policy.

Auto-Renewal Policy

This Auto-Renewal Policy forms part of the Terms & Conditions governing the use of the Sentinel service, provided by Spinnaker Algo Systems, LTD, a company registered in England and Wales, with registered office at 167–169 Great Portland Street, 5th Floor, London, W1W 5PF, United Kingdom (“Spinnaker”, “we”, “us”, or “our”).

1. General Principle

All Sentinel subscriptions are provided on a recurring basis.
By purchasing a subscription plan (monthly, quarterly, half-yearly or annual), the Client (“you”) agrees that the subscription will automatically renew at the end of each billing period for an identical term, unless cancelled in accordance with this policy.
Automatic renewal ensures uninterrupted access to the Service and continuous operation of your monitoring and alert systems.


2. Renewal Cycle
Monthly
Renews every month on the same calendar day as the initial purchase date.
Quarterly
Renews every three (3) months on the same calendar day as the initial purchase date.
Half-Yearly
Renews every six (6) months on the same calendar day as the initial purchase date.
Annual
Renews every twelve (12) months on the same calendar day as the initial purchase date.

Renewals are processed using the payment method registered in your account at the time of renewal.


3. Notification Prior to Renewal

To ensure transparency, Spinnaker will send a renewal reminder to the email address associated with your account at least five (5) days prior to the renewal date, indicating the upcoming charge and renewal term.
It is your responsibility to ensure that your contact information and payment details remain accurate and up to date to prevent interruptions to the Service.


4. Cancellation of Auto-Renewal

You may choose not to renew your subscription at any time before the next renewal date by:

  1. Using the “Cancel” option available within your Sentinel user dashboard; or
  2. Notifying Spinnaker in writing (by email to support@spinnakeralgo.com or via live chat) at least 48 hours before the renewal date.

Cancellations submitted after the renewal has been processed will take effect from the next billing cycle.
No partial refunds or prorated credits are issued for the remaining time in the current billing period.


5. Right Not to Renew

Either Party, the Client or Spinnaker, may decide not to renew the Agreement without cause, at its sole discretion, and without the need to provide justification.
Non-renewal will not affect the Client’s access to the Service until the end of the paid billing period.


6. Renewal Payment Authorization

By maintaining an active subscription, you authorise Spinnaker Algo Systems, LTD to automatically charge your registered payment method for each renewal term, at the then-current rate for your chosen plan.
If we are unable to process the payment (for example, due to an expired or invalid card), you will be notified by email and granted a grace period of 48 hours to update your payment method.
If payment remains unsuccessful, your subscription and access to the Service may be suspended or terminated.


7. Price Changes

Spinnaker reserves the right to adjust subscription prices from time to time.
In the event of a price change, you will be notified at least 30 days prior to renewal.
If you do not wish to continue under the new pricing, you must cancel your subscription before the renewal date.
Continued use of the Service after the renewal date constitutes acceptance of the new pricing.


8. Confirmation of Renewal or Cancellation

Upon successful renewal or cancellation, you will receive an email confirmation containing the relevant details of the renewal or the termination of your subscription.
This confirmation serves as your official record of the transaction and should be retained for reference.


9. Data Retention After Non-Renewal

When a subscription expires or is not renewed, the Client’s access to Sentinel and all associated features will cease immediately after the end of the paid term.
Account data and analytics may be retained securely for up to 30 days, after which they may be permanently deleted in accordance with our Data Retention and Privacy Policy.
